Terms of Service

1. The service

Grimsby Local is a local business directory operated by Rothenburg Limited (Company No. 16716499), trading as Grimsby Local. By accessing or using the site, you agree to be bound by these terms. If you do not agree, please do not use the service.

You must be at least 18 years old to create an account, list a business, or subscribe to a paid plan. By using these features, you confirm that you are 18 or over.

2. Definitions

"Platform" means the Grimsby Local website at grimsbylocal.co.uk and https://portal.grimsbylocal.co.uk.
"We", "us", "our" refers to Rothenburg Limited, trading as Grimsby Local.
"Free listing" means a business listing on the Free tier at no cost.
"Sponsored listing" means a business listing on the Sponsored tier with a paid monthly subscription.

3. Business listings

You must provide accurate and truthful information about your business.
You are responsible for keeping your listing information up to date.
All listings, whether Free or Sponsored, are subject to admin approval before they appear on the directory. We may reject or remove any listing that contains false, misleading, offensive, or illegal content.
Free listings can be created at any time and include essential business information such as name, description, contact details, opening hours, and a header image.
Sponsored listings include all Free features plus a sponsored badge, photo gallery, featured placement, and priority in search results.
We reserve the right to suspend or remove any listing at our sole discretion.

4. Subscriptions and payment

Sponsored listings require a monthly subscription of £4.99/month.
Payment is collected via Bacs Direct Debit through our payment provider, GoCardless. By subscribing, you agree to GoCardless's terms of service in addition to these terms.
Your payments are protected by the Direct Debit Guarantee.
You can cancel your subscription at any time. Upon cancellation, your listing will remain on the Sponsored tier until the end of the current billing period, after which it will revert to the Free tier.
We do not offer refunds for partial billing periods.
We reserve the right to change subscription pricing with reasonable notice. Any price changes will take effect from your next billing period.

5. Reviews

By listing a business on Grimsby Local, business owners acknowledge that reviews may be posted about their business by members of the public.
Reviews reflect the individual opinions of their authors and do not represent the views of Grimsby Local or Rothenburg Limited.
Grimsby Local and Rothenburg Limited are not responsible for any reputation damage arising from reviews posted on the platform.
Reviews must be genuine and based on real experience with the business.
We moderate reviews for spam, abuse, and violations of these terms, but we do not verify the accuracy of review content.
Business owners may respond to reviews but cannot remove genuine reviews.
If you believe a review is false or defamatory, you may report it to us for moderation at hello@grimsbylocal.co.uk.

6. User conduct

You agree not to:

Submit false, misleading, or fraudulent information.
Use the platform to harass, defame, or abuse any person or business.
Attempt to circumvent content moderation or security measures.
Use automated tools to scrape or extract data from the platform without prior written consent.

7. Illegal content and reporting

In accordance with the UK Online Safety Act 2023, we take steps to prevent and remove illegal content from the platform. This includes content that is fraudulent, promotes illegal activity, constitutes harassment or threats, or is otherwise unlawful.

If you encounter content on Grimsby Local that you believe is illegal, you can report it to us at hello@grimsbylocal.co.uk. Please include:

A link to or description of the content
The reason you believe it is illegal
Your contact details (so we can follow up if needed)

We will review all reports and take appropriate action, which may include removing the content, suspending the account, or reporting the matter to the relevant authorities. We aim to acknowledge reports within 48 hours.

8. Intellectual property

Content you submit to the platform (including business descriptions, images, and review responses) remains yours. By submitting content, you grant us a non-exclusive, royalty-free licence to display it on the platform for the purpose of operating the directory.

9. Account termination

By you

You can close your account at any time via the Settings page in the business portal. If you have an active subscription, you should cancel it before closing your account. Upon account closure, your listing will be removed from the directory and your personal data will be handled in accordance with our Privacy Policy.

By us

We may suspend or terminate your account if you:

Repeatedly violate these terms
Submit illegal, fraudulent, or harmful content
Fail to pay subscription fees after reasonable attempts to collect
Use the platform in a way that disrupts the service for others

Where possible, we will notify you before taking action and give you an opportunity to remedy the issue. In urgent cases (e.g. illegal content), we may act immediately.

10. Service availability

We aim to keep the platform available at all times but do not guarantee uninterrupted access. The service may be temporarily unavailable due to:

Planned maintenance (we will provide reasonable notice where possible)
Unplanned outages or technical issues
Circumstances beyond our control, including but not limited to internet disruptions, infrastructure failures, or events of force majeure

We are not liable for any loss arising from service unavailability.

11. Indemnification

You agree to indemnify and hold harmless Rothenburg Limited from any claims, damages, losses, or expenses (including legal fees) arising from your use of the platform, content you submit, or your breach of these terms.

12. Liability

The directory is provided "as is" without warranties of any kind, express or implied.
We do not guarantee the accuracy, completeness, or reliability of business information or reviews.
To the fullest extent permitted by law, Rothenburg Limited is not liable for any direct, indirect, incidental, or consequential loss arising from your use of the platform.
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

13. Changes to these terms

We may update these terms from time to time. When we do:

We will notify you of material changes by email at least 30 days before they take effect.
The updated terms will be posted on this page with a revised "Last updated" date.
If you have an active subscription and do not agree with the changes, you may cancel your subscription before the changes take effect. Cancellation in this case will take effect at the end of your current billing period.
If you continue to use the service after the changes take effect, you will be asked to accept the updated terms when you next log in to the portal.

Minor corrections (typos, formatting, clarifications that do not change your rights or obligations) may be made without advance notice.

14. Dispute resolution

If you have a dispute with us, please contact us at hello@grimsbylocal.co.uk first. We will try to resolve the matter informally within 30 days. If we cannot reach a resolution, either party may pursue formal proceedings.

15. Governing law

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

16. Severability

If any provision of these terms is found to be unenforceable or invalid by a court, the remaining provisions will continue to apply in full.
